Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Backdraft ("Company," "we," "us," or "our"), governing your access to and use of the Backdraft application, website at backdraftai.com, and all related services (collectively, the "Service").
By accessing or using the Service, creating an account, or downloading the Backdraft desktop application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and to that organization.
2. Description of Service
Backdraft is a bidirectional code-to-design editor that allows users to import existing source code (including HTML/CSS, React/Tailwind, and other supported formats), visually edit user interfaces on a spatial canvas, and have those visual changes written back to the underlying source files. The Service includes, but is not limited to:
- A visual code editor with a live rendering canvas
- AI-assisted editing and project generation capabilities
- Code import and export functionality
- Integration with third-party services for deployment, version control, and design import
- Font, animation, and image resource libraries
- Responsive design preview and editing tools
The Service is available as:
- Desktop application — A downloadable macOS application distributed as a DMG installer, available at backdraftai.com.
- Web application — A browser-based version accessible at app.backdraftai.com.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Account Registration and Security
To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and current
- Maintain the confidentiality of your account credentials, including your password and any API keys or tokens
- Accept responsibility for all activities that occur under your account
- Notify us immediately at support@backdraftai.com if you suspect any unauthorized use of your account
You must be at least 13 years of age to create an account and use the Service. If you are under 18, you represent that you have your parent or legal guardian's consent to use the Service.
We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms or poses a security risk.
4. Subscription and Billing
Backdraft offers the following subscription plans:
- Basic — $7 per month
- Pro — $15 per month
All new subscriptions include a 7-day free trial period. During the free trial, you will have access to the features included in your selected plan. If you do not cancel before the end of the trial period, your subscription will automatically convert to a paid subscription, and you will be charged the applicable monthly fee.
Billing and Payment
By subscribing to a paid plan, you authorize us to charge the payment method you provide on a recurring monthly basis. All fees are quoted in U.S. dollars and are non-refundable except as expressly set forth in these Terms or as required by applicable law.
We reserve the right to change our subscription fees upon 30 days' prior notice. Such notice may be provided by email or by posting the updated fees on our website. Your continued use of the Service after the fee change takes effect constitutes your agreement to pay the updated fees.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period. After the billing period ends, your account will revert to the free tier (if available) or access to paid features will be suspended.
5. License to Use the Software
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal and commercial purposes. This license includes the right to download and install the Backdraft desktop application on devices you own or control.
The Backdraft software is proprietary and is not open source. You may not:
- Copy, modify, distribute, sell, lease, or sublicense the software or any portion thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
- Remove, alter, or obscure any proprietary notices, labels, or marks on the software
- Use the software to build a competing product or service
- Circumvent or disable any security, licensing, or access-control features of the software
This license is effective until terminated. It will terminate automatically if you fail to comply with any provision of these Terms.
6. User Content and Intellectual Property
Your Content
You retain all rights, title, and interest in and to the code, designs, images, text, and any other content that you create, import, or edit using the Service ("User Content"). Backdraft does not claim any ownership rights over your User Content.
We do not access, collect, store, or use your project files, source code, or design assets for any purpose other than providing the Service to you. Your code remains yours.
License to Us
To the extent necessary to provide the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of rendering, parsing, and editing it within the application as directed by you. This license is automatically revoked when your User Content is removed from the Service.
Our Intellectual Property
The Service, including its software, design, user interface, documentation, logos, trademarks, and all other intellectual property, is and remains the exclusive property of Backdraft. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.
7. AI-Generated Content
The Service includes AI-assisted features that can generate, suggest, or modify code and design elements ("AI-Generated Content"). You acknowledge and agree that:
- AI-Generated Content is provided on an "as-is" basis without any warranty of accuracy, completeness, fitness for a particular purpose, or non-infringement
- You are solely responsible for reviewing, testing, and validating all AI-Generated Content before incorporating it into your projects or deploying it to production
- AI-Generated Content may contain errors, inaccuracies, security vulnerabilities, or code that does not perform as intended
- We do not guarantee that AI-Generated Content will be free from intellectual property claims by third parties
- You assume full responsibility and liability for any use of AI-Generated Content in your projects
The AI features in Backdraft may rely on third-party language model providers that you configure (such as Ollama, LM Studio, or OpenRouter). Your use of those providers is subject to their respective terms of service, and we are not responsible for the output, availability, or conduct of third-party AI providers.
8. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon or violate the intellectual property rights or privacy rights of any third party
- Transmit any malware, viruses, worms, or other malicious code
- Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Use the Service to generate, distribute, or host content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
- Engage in any automated use of the Service, including but not limited to scraping, crawling, or data mining, without our prior written consent
- Resell, redistribute, or provide access to the Service to third parties without authorization
- Use the Service to send unsolicited communications (spam) or engage in phishing
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including but not limited to suspending or terminating the offender's account and reporting the conduct to law enforcement authorities.
9. Third-Party Services
The Service integrates with or enables connections to various third-party services, including but not limited to:
- AI Providers — Ollama, LM Studio, and OpenRouter for language model inference
- Version Control and Deployment — GitHub for repository management and Netlify for hosting and deployment
- Design Import — Figma for design file import and Webflow for site import
- Resources — Google Fonts, Unsplash, and various CDN providers for fonts, images, and libraries
Your use of third-party services is subject to the respective terms of service and privacy policies of those providers. We are not responsible for the availability, accuracy, content, or practices of third-party services. Any interactions, transactions, or disputes between you and a third-party provider are solely between you and that provider.
We do not endorse or assume any responsibility for any third-party services, and you access them at your own risk.
10. Data and Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.
For the desktop application, your project files and source code are stored locally on your device and are not transmitted to our servers unless you explicitly initiate a deployment, sync, or AI operation that requires server communication. For the web application, file handling occurs within your browser session.
11. Termination
Termination by You
You may terminate your account at any time by contacting us at support@backdraftai.com or through your account settings. Upon termination, your right to use the Service will cease immediately, and any outstanding fees will remain due and payable.
Termination by Us
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to the following circumstances:
- You breach any provision of these Terms
- You engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or our business interests
- Your account has been inactive for an extended period
- We are required to do so by law or legal process
Effect of Termination
Upon termination, your license to use the Service will immediately cease. You are responsible for exporting any User Content you wish to retain prior to termination. We are not obligated to retain or provide access to your data after your account is terminated. Sections of these Terms that by their nature should survive termination will continue in full force and effect, including but not limited to Sections 6, 7, 12, and 15.
12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BACKDRAFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of, or inability to access or use, the Service
- Any conduct or content of any third party on the Service
- Any AI-Generated Content obtained from the Service
- Unauthorized access, use, or alteration of your User Content
- Any bugs, viruses, or other harmful code that may be transmitted to or through the Service
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. We may also provide additional notice, such as an email notification or an in-app announcement, at our discretion.
Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
We encourage you to review these Terms periodically to stay informed of any changes.

15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.
